Article 4) Contract period

Exception 1) Contract execution will start from
the date of receiving Advance Payment and approval and
confirmation of the specifications and plans.
Article 5) Responsibilities of the Seller and
Contractor:
1. The Seller will be committed to commission all
the equipments and………………. correctly and without failure as
requested by the customer.
2. The Seller will be committed to remedy all the
probable failures and defects of the parts resulting from the
installation and prepare the unit for the delivery.
3. The Seller will be committed to guarantee
……......for ….. years as well as after sale services for 15
years. Failures and defects resulting from the electricity
fluctuation, improper use or manipulation by unauthorized people
are exempted from the guarantee conditions.
4. Abiding by the Articles of this Contract, the
Seller is committed to have necessary cooperation with the Buyer
during work.
5. The Buyer will be committed to pay the prices
in accordance with the payment conditions. If the contract price
is not paid on time, the Seller will have no commitment to the
Contract, and the Buyer shall indemnify the Contractor.
6. After the execution of the Contract, the
Contractor is committed to take the necessary measures as to
delivering the technical details for the preparation of the work
which is to be carried out by the employer.
7. The Contractor is committed to abide by the
workshop rules and regulations.
8. The Contractor is committed to finish work
from the start date of installation work according to the
schedule and deliver the unit under the Contract in accordance
with the rules and regulations of installation and commissioning
and submit it through the memorandum to the Employer or his
assigned representative.
10. The Contractor is committed to undertake the
performance of all construction work, crane supply, required
electricity at the machine room, and the Buyer is responsible
for structural activities unless otherwise is agreed by and
between the Contractor and the Buyer, and specified in the
Contract.
11. The Buyer is responsible for the maintenance
of all the equipments from the time they enter to the building
for installation on.
12. The Employer is committed not to allow
unauthorized people to enter to the work area and manipulate all
devices of unit during installation and guarantee period.
13. Observing the Articles of this Contract, the
Buyer is committed to make the necessary cooperation with the
Buyer during work.
14. The Buyer shall commit to take measures
regarding making and signing the Service and Maintenance
Contract of the device with the Seller after the final delivery
of the device.
15. The Buyer is committed to provide the work
sites for the Contractor in time. If for some reasons such as
project cancellation, delay in the performance of the project,
unpreparedness of the work site for the installation of the
equipments under the Contract, the performance of the work
cannot be done for any reason and also the related expenses
cannot be paid in due time, for each month's delay, 3% will be
added to the unpaid price and the Employer is committed to
indemnify the Contractor.
Article 6) Contract Period
Contract period starting from the date the
Contract is made and signed and the Advance Payment received

Article 7) Arbitration:
All disputes which may arise between the parties
hereto, out of, in relation to or in connection with this
Contract which cannot be resolved amicably by the parties shall
be finally be settled by one expert assigned with the consent of
each party. If dispute remains unresolved, it will be resolved
through the law court.
